Please read these Terms carefully before using our website, purchasing a service, creating an account, participating in an assessment or accessing any Tadarab.ai content.
These Terms of Service govern your access to and use of redthread.ae, its related pages, platforms, products and services operated by RED THREAD FZE. "You" and "your" refer to any visitor, customer, client, participant, rater, learner, coach, facilitator, administrator or organisation using our website or services.

In these Terms, "Red Thread", "we", "us" and "our" refer to RED THREAD FZE.
2.Acceptance of these Terms
By accessing the website, creating an account, submitting information, purchasing a service or participating in a Red Thread programme or assessment, you confirm that:
- You have read and understood these Terms.
- You agree to comply with these Terms.
- You have legal capacity to enter into a binding agreement.
- Any information you provide is accurate and complete.
- You are authorised to act for an organisation where you use the services on its behalf.
If you do not agree to these Terms, you must not use the website or services.
3.Other contractual documents
Some Red Thread services are governed by a separate proposal, statement of work, order form, service agreement, subscription agreement, data-processing agreement, programme enrolment agreement, assessment invitation, client contract, or cancellation or refund policy.
Where there is a conflict, the following order of priority applies:
- A signed service agreement or statement of work.
- An accepted proposal or order form.
- Product-specific terms shown at the point of purchase.
- These Terms of Service.
Mandatory rights under UAE law will continue to apply.
4.Eligibility
Our website and general services are intended for people aged 18 or over. A person under 18 may only use a Red Thread service where: the service has been arranged by an authorised school, employer, parent, guardian or other responsible organisation; any legally required consent has been obtained; and Red Thread has agreed to the arrangement in writing.
You must not create an account for another person without their authority.

Red Thread may provide services including:
- Learning and development consulting.
- Talent and organisational development.
- Leadership and behavioural development.
- Training programmes and workshops.
- Trainer certification and development programmes.
- Coaching and facilitated development.
- Organisational audits.
- Employee and customer surveys.
- Psychometric, behavioural and competency assessments.
- Multi-rater and 360-degree assessments.
- Emotional intelligence assessments.
- Culture and engagement assessments.
- Assessment reports and development recommendations.
- Digital learning content.
- Online courses, webinars and virtual sessions.
- Software platforms and subscription services.
- Licensed learning materials.
- Certificates and digital credentials.
- Research, reports and educational resources.
- AI-supported learning, assessment or coaching tools.
The exact scope, outputs, timetable and price of a service will be stated in the relevant proposal, product page, order form or agreement.
6.Website information
We aim to keep the website accurate and current. Website content is provided for general information and may be updated without notice. Website content does not constitute legal advice, medical or psychological advice, clinical diagnosis, financial advice, employment advice, a guarantee of performance or business results, or a replacement for professional judgement.
You remain responsible for decisions made using information obtained from the website.
7.Orders and service acceptance
Submitting an enquiry, booking request or order does not always mean that Red Thread has accepted it. A contract is formed when Red Thread confirms the order in writing, accepts a signed proposal or order form, provides access to the purchased digital service, receives payment and issues a confirmation, or begins delivering the agreed service.
We may reject or cancel an order where: the service is unavailable; pricing or service information contains an obvious error; payment cannot be verified; the request falls outside our licensed activities; the request creates a legal, ethical, security or reputational risk; the customer has breached these Terms; or we reasonably suspect fraud, misuse or unauthorised activity.
Where we cancel a paid order before delivery, we will refund the amount paid for the undelivered service, subject to applicable law and any reasonable non-refundable costs clearly agreed in advance.
8.Fees, invoicing and payment
Prices may be stated in UAE dirhams or another agreed currency. Unless stated otherwise: prices exclude VAT and other applicable taxes; payment must be made by the date shown on the invoice; bank, currency-conversion and transfer charges are payable by the customer; access may be delayed or suspended until payment is received; and late payment may delay delivery dates.
Red Thread may charge reasonable recovery costs for overdue business invoices where permitted by law. For subscription services, fees may be charged monthly, annually or under another agreed cycle; subscriptions may renew automatically only where this is clearly disclosed; you remain responsible for cancelling before the renewal date; and price changes will be communicated before they take effect.
Red Thread does not normally store full payment-card details. Payments may be processed by an authorised third-party payment provider.
9.Cancellations, rescheduling and refunds
Cancellation and refund rights depend on the service purchased. The applicable terms will be stated in the proposal or agreement, the booking confirmation, the product page, the checkout process, or a programme-specific cancellation policy.
Unless the applicable service terms state otherwise: requests must be sent to info@redthread.ae; cancellation is effective only after written confirmation from Red Thread; work already completed is chargeable; approved third-party costs may be non-refundable; and customised content, assessment licences and commissioned work may become non-refundable once production or delivery begins.
Digital products may become non-refundable once access, downloading or assessment use begins, to the extent permitted by law. A participant may be replaced by another eligible participant where Red Thread approves the change. Red Thread may offer rescheduling, account credit or replacement access instead of a cash refund. Nothing in this section removes any mandatory consumer right available under UAE law.
10.Accounts and access credentials
Some services require an account. You agree to: provide accurate registration information; keep your information current; protect your password and access credentials; use multi-factor authentication where available; prevent unauthorised access; notify us promptly of suspected misuse; and accept responsibility for activity conducted through your account where you failed to protect it.
You must not: share personal assessment links or credentials; allow several people to use a single-user licence; create false or misleading accounts; impersonate another person; attempt to bypass access controls; or access data belonging to another client or participant.
We may suspend an account where we reasonably believe it has been compromised or misused.
11.Assessment and survey services
11.1 Nature of assessments
Red Thread assessments are development and decision-support tools. Unless expressly described otherwise, they are not medical examinations, clinical psychological tests, psychiatric evaluations, diagnostic health instruments, legal determinations, guarantees of future performance, or standalone hiring or dismissal decisions.
Results should be interpreted alongside relevant evidence and qualified human judgement.
11.2 Participant responsibilities
Participants must complete assessments independently, respond honestly, avoid coaching another person on test answers, avoid copying or distributing assessment questions, report technical problems promptly, and avoid manipulating response patterns or identity information.
Red Thread may invalidate or flag an assessment where there are reasonable indicators of identity misuse, collusion, deliberate distortion, automated answering, repeated unauthorised access, or compromised assessment security.
11.3 Client responsibilities
A client using assessments for employees, candidates or other participants must: have a lawful reason for administering the assessment; give participants appropriate information; obtain any required notices, permissions or consents; limit access to authorised people; use results fairly and proportionately; avoid discrimination or unlawful decision-making; provide human review for significant decisions; avoid treating an assessment score as the only basis for employment action; protect downloaded reports; follow retention and deletion requirements; and honour any anonymity commitments made to participants or raters.
11.4 Multi-rater and 360-degree assessments
Where a service uses several raters: results may be aggregated; individual comments may be shown as written unless the service specifies moderation; rater identities may be hidden where anonymity is part of the agreed design; anonymity may not be possible for categories containing very few raters; Red Thread may suppress, combine or withhold small groups to reduce identification risk; threatening, discriminatory, defamatory or unrelated comments may be removed or referred for review; and clients must not attempt to identify anonymous raters through technical, managerial or coercive means.
11.5 Automated scoring and AI-supported features
Some services may use automated scoring, algorithms or AI-supported tools to calculate scores, identify response patterns, generate report language, suggest development themes, recommend learning resources, or support coaching conversations. These tools support human judgement. They should not be treated as infallible. Where required by law, participants may request information about automated processing and may request appropriate human review.
12.Intellectual property
The website and Red Thread services may contain assessment models, questions and scoring systems, competency frameworks, reports and report structures, learning materials, facilitator guides, videos, graphics, logos, software, databases, written content, templates, methodologies, and trademarks and brand elements. These materials are owned by Red Thread or used under licence. All rights not expressly granted are reserved.
You must not, without written permission: copy or republish Red Thread materials; resell or sublicense them; translate or adapt them for commercial use; remove copyright, trademark or ownership notices; extract assessment questions; reconstruct scoring rules; scrape or systematically download content; use materials to train another assessment system or AI model; create a competing product based on Red Thread confidential materials; record a training session without approval; or share restricted facilitator or technical materials with participants.
13.Limited licence
Where you purchase or receive Red Thread materials, Red Thread grants you a limited, non-exclusive, non-transferable and revocable licence to use them for the purpose stated in the relevant agreement. This licence does not transfer ownership.
Unless agreed otherwise: participant materials are for the named participant; facilitator materials are for approved facilitators; client reports are for authorised internal use; assessment access is limited to the purchased number of uses; and digital content may not be uploaded to another platform or used to deliver paid training to third parties.
Separate licensing terms may apply to reseller, certification, train-the-trainer or intellectual-property agreements.
14.Client and user materials
You may provide Red Thread with logos, documents, data, images, recordings, frameworks or other materials. You confirm that: you own the materials or have authority to use them; Red Thread may use them to deliver the agreed service; their use will not infringe another person's rights; they do not contain unlawful, misleading or malicious content; and any personal data was collected and shared lawfully.
You retain ownership of your pre-existing materials. Unless agreed otherwise, Red Thread retains ownership of its pre-existing intellectual property, its methodologies and know-how, reusable tools and templates, general improvements made during the project, and de-identified learning and technical insights. Project-specific ownership will be governed by the relevant agreement.
15.Confidentiality
Each party must protect non-public information received from the other party, including business plans, pricing, participant information, assessment reports, technical documentation, client materials, commercial proposals, unpublished learning content, and product-development information.
Confidential information may be used only for the agreed purpose and shared only with people who need access. This duty does not apply to information that was already lawfully known, becomes public without a breach, is received lawfully from another source, is independently developed, or must be disclosed by law or lawful authority. Separate confidentiality agreements may apply.
16.Privacy and personal data
Our collection and use of personal data are described in the Red Thread Privacy Policy. Where Red Thread processes personal data on behalf of a corporate client, the client may act as the data controller and Red Thread may act as its processor or service provider. A separate data-processing agreement may apply. You must not submit personal data that you are not authorised to provide.
17.Acceptable use
You must not use the website or services to:
- Break any law.
- Infringe intellectual-property rights.
- Harass, threaten or discriminate against anyone.
- Upload viruses, malicious code or harmful files.
- Probe or attack website security.
- Access restricted systems or data.
- Interfere with service availability.
- Conduct unauthorised testing or scraping.
- Send spam or fraudulent messages.
- Misrepresent assessment results.
- Generate false certificates.
- Use Red Thread content to build an unauthorised competing tool.
- Use automated systems to complete assessments.
- Submit content that is defamatory, obscene or unlawful.
- Circumvent usage limits, subscriptions or licensing controls.
We may investigate suspected misuse and cooperate with lawful investigations.
18.Third-party services
Our website and services may integrate with third-party providers such as payment processors, learning platforms, video-conferencing providers, cloud hosting services, email and communication providers, analytics tools, certification platforms, assessment technology providers, AI service providers, and customer relationship management systems.
Third-party services may have their own terms and privacy policies. Red Thread is not responsible for a third-party service outside our reasonable control. We will remain responsible for our own obligations and for selecting service providers with appropriate safeguards where required.
19.Links to other websites
The website may contain links to external websites. A link does not mean that Red Thread controls the external site, endorses all its content, guarantees its security, or accepts responsibility for its services. You should review the external website's terms and privacy policy before using it.
20.Service availability
We aim to provide reliable services but do not guarantee uninterrupted access. Services may be affected by maintenance, hosting failures, internet outages, cybersecurity incidents, third-party platform failures, government restrictions, force majeure events, or updates and technical changes.
We may modify, replace or discontinue website features. Where a paid service is materially affected, we will take reasonable steps to provide an alternative, credit or other suitable remedy.
21.Warranties and disclaimers
To the maximum extent permitted by law: services are provided on an "as available" basis; we do not guarantee that every service will meet every individual expectation; we do not guarantee a particular commercial, learning, employment or performance outcome; assessment results are estimates based on available responses and methodology; development recommendations require individual judgement and application; website content may contain occasional errors or omissions; and digital services may experience interruptions.
These Terms do not exclude any warranty, obligation or right that cannot legally be excluded.
22.Limitation of liability
Nothing in these Terms limits liability where limitation is prohibited by law. To the maximum extent permitted by law, Red Thread will not be liable for: indirect or consequential loss; loss of anticipated profit; loss of revenue; loss of business opportunity; loss caused by unauthorised account access resulting from your failure to secure credentials; decisions made solely from an assessment result contrary to our guidance; loss caused by inaccurate information supplied by you or a client; or failures caused by systems outside Red Thread's reasonable control.
For business customers, Red Thread's total aggregate liability arising from a specific paid service will not exceed the fees paid to Red Thread for that service during the 12 months preceding the event giving rise to the claim. This limit does not apply to fraud or fraudulent misrepresentation, wilful misconduct, liability that cannot be excluded under applicable law, or any higher liability expressly accepted in a signed agreement.
23.Indemnity for business users
Where you use the services for business purposes, you agree to compensate Red Thread for reasonable losses, claims, costs or liabilities arising from: your unlawful use of the services; your infringement of third-party rights; personal data you provided without authority; your misuse of assessment results; your breach of confidentiality; or your breach of applicable licensing restrictions.
This section applies only to the extent permitted by law.
24.Suspension and termination
We may suspend or terminate access where: fees remain unpaid; these Terms are breached; access creates a security risk; we reasonably suspect fraud or unlawful conduct; intellectual property is being misused; continued service would breach a legal or regulatory requirement; a client contract ends; or a third-party platform required for delivery is discontinued.
Where practical, we will provide notice and an opportunity to resolve the issue. Termination does not affect fees already due, rights accrued before termination, confidentiality obligations, intellectual-property protections, liability provisions, or terms intended to survive termination.
25.Force majeure
Neither party will be responsible for delay caused by events beyond its reasonable control, including natural disasters, epidemics or public-health emergencies, war or civil disturbance, government action, transport disruption, utility or telecommunications failure, major cyber incidents, or failure of critical third-party infrastructure. The affected party must take reasonable steps to reduce the impact.
26.Electronic communications
You agree that contracts, notices, invoices, confirmations and other communications may be provided electronically. Electronic acceptance may include clicking an acceptance button, signing electronically, confirming by email, completing an online checkout, or accessing a service after receiving the applicable terms.
27.Changes to these Terms
We may update these Terms to reflect changes in law, new services, security requirements, operational changes, or changes in technology. The current version will be published on redthread.ae with an updated date. Material changes affecting an active paid service will be communicated where reasonably practical. Continued use after the effective date means that you accept the updated Terms, subject to mandatory legal rights.
28.Governing law and jurisdiction
These Terms are governed by the federal laws of the United Arab Emirates and the laws applicable in the Emirate of Sharjah. The courts of Sharjah will have exclusive jurisdiction over disputes, unless mandatory law requires another forum, a signed agreement contains a different dispute-resolution process, or the parties agree in writing to mediation or arbitration.
Before starting formal proceedings, the parties should attempt in good faith to resolve the dispute through written discussion.
29.General provisions
Entire agreement
These Terms and any applicable service documents form the agreement between you and Red Thread concerning the relevant service.
Severability
If any provision is found invalid or unenforceable, the remaining provisions will continue to apply.
No waiver
Failure to enforce a right does not waive that right.
Assignment
You may not transfer your rights or obligations without written consent. Red Thread may transfer its rights or obligations as part of a restructuring, sale or transfer of business, subject to applicable law and data-protection obligations.
Language
These Terms may be made available in English and Arabic. Where legally permitted and unless stated otherwise, the English version will govern contractual interpretation. Where applicable law requires reliance on Arabic, the Arabic version will prevail to that extent.
